EAST RUTHERFORD, NJ - March 20, 2014 (NYSE: AMBR) --
Amber Road, Inc., a leading provider of global trade management (GTM) solutions,
today announced the pricing of its initial public offering of 7,391,565 shares
of its common stock at a price to the public of $13.00 per share. Of the shares
in the offering, 4,782,870 shares are being offered by the Company and 2,608,695
shares are being offered by selling stockholders. In addition, certain of the
selling stockholders have granted the underwriters a 30-day option to purchase
up to 1,108,734 additional shares at the same price to cover over-allotments, if
any. Amber Road will not receive any proceeds from the sale of shares by the
selling stockholders. The shares are expected to begin trading on The New York
Stock Exchange on March 21, 2014 under the ticker symbol "AMBR." Closing of the
offering is expected to occur on March 26, 2014, subject to customary closing
conditions.
Stifel is serving as sole book-running manager for the offering, Pacific Crest
Securities is serving as co-lead manager, and Canaccord Genuity, Needham &
Company and Raymond James & Associates are serving as co-managers.
